Welcome to PG Digital Solution. These Terms and Conditions (“Terms”) govern your use of our website [www.pgdigitalsolution.com] and the digital marketing, design, and development services provided by us.

By accessing our website or hiring PG Digital Solution for any service, you agree to comply with and be bound by these Terms. If you do not agree with any part of these terms, you must not use our services.

1. Definitions

• “Agency,” “We,” “Us”: Refers to PG Digital Solution, located at 107 Chetak Enclave, LIC Rd, choraha, Neemuch M.P., INDIA.
• “Client,” “You”: Refers to the individual, business, or entity that hires PG Digital Solution for services.
• “Services”: Refers to SEO, Web Development, Graphic Design, Content Writing, Paid Advertising, and any other solution provided by the Agency.

2. General Service Terms

• Independent Contractor: PG Digital Solution acts as an independent contractor, not as an employee of the Client.
• Scope of Work: The specific services to be provided will be outlined in a separate proposal, invoice, or email agreement. Any work requested outside this scope will be charged additionally at our standard hourly rates.
• Right to Refuse: We reserve the right to refuse service to any individual or business for any reason, particularly if the project involves illegal, unethical, or offensive content.

3. Client Responsibilities

To ensure the success of the project, the Client agrees to:

• Provide Access: Provide necessary access to website CMS (WordPress/Shopify), hosting panels, social media accounts, and analytics tools required for the project.
• Deliver Content: Provide text, images, and other assets in a timely manner. Delays in providing content will result in a delay in the project completion date.
• Approvals: Review and approve drafts, designs, and campaigns within 3 business days. Failure to respond may be considered as automatic approval to proceed to the next stage.

4. Payment Terms

• Deposits: A non-refundable advance payment (typically 50%) is required before the commencement of any project.
• Invoicing: Invoices will be sent via email. Payment is due upon receipt unless otherwise specified.
• Late Fees: A late fee of 5% per week may be charged on overdue invoices pending for more than 15 days.
• Taxes: All fees are exclusive of GST. The Client is responsible for paying applicable taxes as per Indian Government regulations.
• Platform Fees: The Client is responsible for paying all third-party costs directly (e.g., Google/Facebook Ad Budget, Domain Renewal, Hosting Fees).

5. Intellectual Property (IP) Rights

• Client Ownership: Upon full payment of all invoices, the Client is granted ownership of the final deliverables (e.g., the final website design, logo files, content).
• Agency Ownership: PG Digital Solution retains the right to use the completed work (screenshots, case studies, design concepts) in our portfolio and marketing materials to showcase our expertise.
• Tools & Methods: Any code, scripts, or proprietary methodologies used by the Agency to create the work remain the property of PG Digital Solution.

6. Limitation of Liability

PG Digital Solution strives for excellence, but the nature of the digital landscape involves third-party platforms (Google, Meta, AWS) that are beyond our control.

• No Guarantees: We do not guarantee specific results (e.g., “#1 Ranking on Google,” “1000 Sales,” or “Viral Status”) as these depend on search engine algorithms and market behavior.
• Third-Party Changes: We are not liable for any loss of traffic, rankings, or data caused by updates to Google algorithms, social media policies, or third-party software failures.
• Damages: In no event shall PG Digital Solution be liable for any indirect, incidental, or consequential damages (including loss of profit or data) arising from the use of our services. Our total liability is limited to the amount paid by the Client for the specific service in the last 3 months.

7. Confidentiality

We respect your business secrets. PG Digital Solution agrees not to disclose any confidential information provided by the Client (e.g., customer lists, trade secrets, login credentials) to any third party, except as required for the performance of the services or by law.

8. Termination of Contract

• By Client: You may terminate the service at any time by providing a 30-day written notice. You will be liable to pay for all work completed up to the date of termination.
• By Agency: We may terminate the agreement immediately if the Client breaches these Terms, fails to make payments, or displays abusive behavior towards our staff.

9. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Neemuch, Madhya Pradesh.
